Terms of Service

Please read these Terms of Service ("Terms") carefully before using the KoPay platform ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About KoPay

KoPay is an invoicing and payment workflow platform for service businesses. It allows users to create invoices, send estimates, collect digital signatures, and facilitate customer payments via Stripe. KoPay is not a bank, payment processor, or financial institution. All payment processing is performed by Stripe, Inc. under Stripe's own terms and conditions.

2. Beta Service

The Service is currently offered in a beta phase. During this period:

The Service is provided free of charge and may have limited availability, bugs, or incomplete features.
We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
We do not guarantee any specific uptime, response time, or data retention during the beta period.
We reserve the right to transition to a paid model. We will provide advance notice before any pricing changes take effect.

3. Eligibility

You must be at least 18 years old and legally authorized to operate a business in the United States to use the Service. By using KoPay, you represent that you meet these requirements.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. You may not share login credentials with unauthorized parties or use the Service on behalf of a third party without their consent.

5. Fee Pass-Through — Compliance Disclaimer

Important: KoPay's fee pass-through feature adds card processing costs to customer invoices as a disclosed line item. The legality of surcharging or passing card processing fees to customers varies by state, locality, and card network rules. You are solely responsible for ensuring your use of this feature complies with all applicable laws and regulations.

Specifically, you acknowledge and agree that:

Surcharging and convenience fee laws differ across US states and may change at any time. Some states restrict or prohibit certain types of surcharging.
Card networks including Visa, Mastercard, American Express, and Discover have their own rules regarding surcharging (including caps, disclosure requirements, and prohibited practices). You are responsible for complying with these rules.
You must obtain any required licenses, registrations, or approvals for your business operations, including those related to payment surcharging.
KoPay does not provide legal, financial, or tax advice. Nothing in the Service or these Terms constitutes legal advice. Consult a qualified attorney before using fee pass-through if you are uncertain about its legality in your jurisdiction.
KoPay is not liable for any fines, penalties, claims, losses, or damages arising from your use or misuse of the fee pass-through feature.

6. Payment Processing

KoPay uses Stripe, Inc. to process payments. By using the payment features of the Service, you agree to Stripe's Services Agreement and Privacy Policy. KoPay does not store, access, or process your customers' card data. All card information is handled exclusively by Stripe under PCI-compliant infrastructure.

KoPay is not responsible for payment failures, disputes, chargebacks, or any issues arising from Stripe's processing. You agree to handle all payment disputes directly through Stripe and your own business processes.

7. User Content

You retain ownership of all invoices, estimates, customer data, and other content you create in KoPay ("User Content"). By using the Service, you grant KoPay a limited, non-exclusive license to store and display your User Content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy and legality of your User Content, including invoice amounts, tax rates, customer information, and any other data you enter.

8. Prohibited Uses

You may not use the Service to:

Violate any applicable law or regulation
Engage in fraudulent invoicing, money laundering, or other financial crimes
Collect payments for prohibited goods or services under Stripe's policies
Transmit viruses, malware, or other harmful code
Reverse engineer, scrape, or attempt to extract the source code of the Service
Resell or sublicense access to the Service without written authorization from KoPay

9. Intellectual Property

The KoPay name, logo, platform design, and underlying software are the intellectual property of KoPay and its licensors. These Terms do not grant you any ownership rights in the Service. You may not copy, reproduce, modify, or create derivative works from any part of the Service without written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KOPAY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.

KoPay does not warrant that the Service will be uninterrupted, error-free, or that fee calculations will be accurate in all circumstances. Fee calculations are based on the processing rates you configure and may not reflect your actual Stripe processing costs.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KOPAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL KOPAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KOPAY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, the limitations above apply only to the extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless KoPay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use or misuse of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right, including but not limited to surcharging or payment fee laws; or (e) any dispute between you and your customers.

13. Third-Party Services

The Service integrates with third-party platforms including Stripe (payments), Supabase (database infrastructure), Resend (email delivery), and Vercel (hosting). KoPay is not responsible for the availability, accuracy, or performance of these third-party services. Your use of those services is governed by their respective terms and policies.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States applicable to agreements made and performed therein. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law. You waive any right to a jury trial or class action proceeding related to the Service.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice within the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. We are not liable for any loss resulting from termination.
